Terms of Service

Last updated: 06 November 2026  ·  Applies to unikflux.com

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and UnikFlux Technologies Unipessoal Lda ("UnikFlux", "we", "us", or "our"), a company registered in Portugal, regarding your access to and use of our website and services at unikflux.com.

By accessing or using UnikFlux — whether as a visitor, a registered user, or a company administrator — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our services.

2. Description of Service

UnikFlux provides a suite of business web applications in two tiers:

  • Free applications: Standalone utility tools available to anyone without registration, including IP Checker, Hash Generator, Timer, Per Capita Split, PDF to JPG, QR Code Generator, QR Code Reader, and OWA Mailbox Link. No account is required to use these tools.
  • Premium modules: Multi-tenant business management modules — such as the Asset Register — that require a registered account, a company workspace, and an active module seat assigned by a company administrator.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. Where practical, we will provide reasonable advance notice of material changes that affect registered users.

3. Eligibility

To create an account and use premium modules you must be at least 16 years of age. By registering, you represent that you meet this age requirement and that you have the legal capacity to enter into a binding agreement under applicable law.

Use of the free applications does not require registration and carries no minimum age restriction beyond that imposed by applicable law in your jurisdiction.

4. User Accounts

When you create a UnikFlux account you must provide accurate, current, and complete information. You are responsible for keeping your account details up to date.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately via our contact form if you suspect any unauthorised use of your account.

Within a company workspace, account access and module roles are managed by your company's administrators. UnikFlux does not control how individual companies configure user permissions.

5. Acceptable Use Policy

You may use UnikFlux only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable law or regulation, including those of Portugal and the European Union;
  • Infringe the intellectual property rights or other rights of any third party;
  • Transmit any content that is unlawful, harmful, defamatory, or otherwise objectionable;
  • Attempt to gain unauthorised access to any part of our systems, servers, or databases;
  • Use automated tools, scrapers, or bots to access the service without our prior written consent;
  • Reverse engineer, decompile, or disassemble any part of the service;
  • Upload or transmit viruses, malware, or any other malicious code;
  • Interfere with or disrupt the integrity or performance of the service or its infrastructure;
  • Use the service to develop or assist in developing a competing product or service;
  • Violate the privacy or rights of other users.

We reserve the right to investigate suspected violations and to suspend or terminate accounts where a breach of this policy is found.

6. Intellectual Property

The UnikFlux platform, including its source code, design, trademarks, logos, and all content created by us, is the exclusive property of UnikFlux Technologies Unipessoal Lda and is protected by Portuguese and EU intellectual property law.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the service for its intended purposes in accordance with these Terms. This licence does not permit you to copy, modify, distribute, sublicense, or create derivative works from any part of the service without our express written consent.

7. User Content

You retain ownership of any data or content you upload to or create within the UnikFlux platform ("User Content"), such as asset records, person records, or other business data entered into premium modules.

By submitting User Content, you grant us a limited, non-exclusive licence to store and process that content solely to deliver the service to you. We do not use your business data for any purpose other than operating and improving the service, and only as described in our Privacy Policy.

You are responsible for ensuring that any User Content you submit complies with applicable law and does not infringe third-party rights. We reserve the right to remove content that violates these Terms.

8. Premium Services and Payment

Access to premium modules requires a paid subscription. Pricing, billing cycles, and available plans are presented at the time of purchase.

  • Payment: Fees are payable in advance. All prices are stated inclusive or exclusive of VAT as indicated at the point of purchase.
  • Billing: Subscriptions renew automatically at the end of each billing period unless cancelled.
  • Price changes: We will provide at least 30 days' notice before increasing prices for existing subscribers.
  • Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current paid period; access continues until then.
  • Refunds: Fees are non-refundable except where required by EU consumer law or as expressly stated at the time of purchase.
  • Suspension: Failure to pay may result in suspension of access to premium features until payment is received.

9. Privacy

Your use of UnikFlux is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains what personal data we collect, how we use it, how long we retain it, and your rights under EU GDPR.

We process all personal data in accordance with EU GDPR (Regulation 2016/679) and applicable Portuguese data protection law, supervised by the Comissão Nacional de Proteção de Dados (CNPD), Portugal.

10. Disclaimers

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by Portuguese and EU law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or free from viruses or other harmful components, or that defects will be corrected. Free applications in particular are provided without any service-level commitments.

These disclaimers do not affect any statutory rights you may have as a consumer under EU or Portuguese law, which cannot be excluded or limited by contract.

11. Limitation of Liability

To the maximum extent permitted by applicable law, UnikFlux Technologies Unipessoal Lda shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or business interruption, arising from your use of or inability to use the service.

Where liability cannot be excluded by law, our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim, or €100, whichever is greater.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Portuguese or EU law.

12. Termination

By you: You may close your account at any time by contacting us via our contact form. Upon closure, your access to premium modules will cease and your personal data will be handled in accordance with our Privacy Policy.

By us: We may suspend or terminate your account immediately and without prior notice if you materially breach these Terms, engage in prohibited activities, pose a security threat to our systems, or fail to pay subscription fees when due.

Effect of termination: On termination, your licence to use the service ends immediately. Any provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, and governing law — will continue to apply.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Portugal and applicable European Union regulations, without regard to conflict of law principles.

Where EU consumer law applies, you may also benefit from the mandatory protections afforded by the law of your country of habitual residence within the EU.

14. Dispute Resolution

Informal resolution: Before initiating any formal proceedings, we encourage you to contact us via our contact form so that we can attempt to resolve your concern informally. We will endeavour to respond and work towards a resolution within 30 days.

Formal proceedings: If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Portugal.

If you are a consumer resident in another EU member state, you may also have the right to bring proceedings in the courts of your country of residence under applicable EU consumer protection law. The European Commission's Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr.

15. Modifications to These Terms

We may update these Terms from time to time. When we do, we will update the date at the top of this page. For material changes, we will notify registered users by email or by displaying a prominent notice on the website at least 14 days before the changes take effect.

Your continued use of the service after updated Terms take effect constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the service and may close your account.

16. General Provisions

Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and UnikFlux regarding the service and supersede any prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: We may assign or transfer our rights and obligations under these Terms without restriction. You may not assign your rights or obligations without our prior written consent.

Force majeure: We are not liable for any delay or failure to perform our obligations where such delay or failure results from circumstances beyond our reasonable control.

17. Contact

If you have any questions about these Terms of Service, please contact us via our contact form. We aim to respond within five business days.
